Acceptance Of These Terms

By creating an account, placing an order, or otherwise using OPVII, you agree to be bound by these Terms of Service and by our Privacy Policy. If you are using OPVII on behalf of a business or organization, you confirm that you have the authority to accept these terms on that entity's behalf, and "you" refers to both you individually and that entity.

Who We Are And What We Do

OPVII is software for businesses that manage event registrations and need to keep registrants informed. Our platform lets a business collect registrations for seminars, appointments, classes, and similar events, and then send those registrants confirmations and reminders by SMS text message and email so attendance stays high and no-shows go down.

Eligibility And Accounts

You must be at least 18 years old and able to form a binding contract to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access. We may suspend or terminate accounts that provide false information or that are used in violation of these terms.

Acceptable Use And Prohibited Conduct

OPVII is provided for lawful business and organizational use only. You agree not to use the service to send unsolicited, deceptive, or harassing messages; to violate any recipient's privacy or consent rights; to transmit unlawful, threatening, defamatory, or obscene content; to attempt to gain unauthorized access to our systems or another user's account; or to use the service in any manner that violates carrier messaging guidelines, the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, or any other applicable law or regulation.

We may suspend or terminate access for any violation of this section without notice.

If you use OPVII to send SMS or email messages to your own registrants, attendees, or contacts, you are solely responsible for obtaining and documenting valid, informed opt-in consent from every person you message before you message them, and for honoring every opt-out request you receive.

You represent and warrant that your use of any contact list uploaded to or collected through OPVII complies with all applicable consent, privacy, and messaging laws. We may request evidence of consent at any time and may suspend messaging for any list or account that cannot demonstrate proper consent.

Messaging Program Terms (SMS / Text)

By providing your mobile phone number and opting in through a registration form, checkbox, or other consent mechanism, you agree to receive text messages related to event registrations, including confirmations, reminders, schedule changes, and related account or support notifications. Consent to receive these text messages is not a condition of registering for any event or making any purchase. Message frequency varies depending on the events and reminders you sign up for. Message and data rates may apply, and you are responsible for any charges from your mobile carrier. Delivery is not guaranteed; participating carriers are not liable for delayed or undelivered messages.

For help at any time, reply HELP to any message, or contact us using the information below. To stop receiving text messages, reply STOP to any message; you will receive a one-time confirmation that you have been unsubscribed, and no further messages will be sent to that number unless you opt in again.

Email Messaging And Unsubscribe

We and the businesses using our platform send transactional emails, such as registration confirmations, and reminder emails tied to upcoming events. Every such email includes a clear way to unsubscribe, including a one-click unsubscribe link in the message footer. Opting out of email reminders does not automatically opt you out of SMS reminders, and opting out of SMS does not automatically opt you out of email; each channel is controlled separately so you can choose the notifications you want to receive.

Subscriptions, Billing, And Renewal

Paid plans are billed in advance on a monthly or annual cycle, as selected at checkout, and renew automatically at the then-current rate until canceled. Some plans may include a one-time onboarding or setup fee, disclosed to you before purchase. You authorize us to charge your saved payment method for all recurring and one-time fees associated with your account. Because every plan is billed in advance and the service is available to you immediately, all fees are earned when paid.

No Refunds

OPVII operates a no-refund policy. All payments are final and non-refundable, including monthly and annual subscription fees, onboarding and setup fees, implementation, migration, configuration and training work, message and overage charges, and any add-on or professional services.

Time already used cannot be refunded: once a billing period has begun, that period is non-refundable in whole or in part, whether or not you used the platform during it. Onboarding and setup fees are non-refundable once onboarding work has been scheduled or started, and are not refundable if you later cancel your subscription.

We do not issue partial-month or partial-year refunds, pro-rated credits for unused time, or refunds for periods during which an account was idle, suspended for a violation of these terms, or unused following an upgrade or downgrade. Nothing in this section limits any right to a refund that applicable law makes non-waivable. See our Refund Policy for the full detail.

Cancellation

You may cancel your subscription at any time from your account settings or by contacting us. Cancellation stops future renewals and takes effect at the end of the period you have already paid for; your access continues until that period ends and no refund is issued for the remainder of it. Cancelling does not refund an onboarding or setup fee already paid. If you believe you were charged in error, such as a duplicate charge or a charge after a cancellation took effect, contact us promptly and we will review the charge and correct any genuine billing error.

Intellectual Property

OPVII and its logos, software, and content are owned by us or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the platform for your internal business purposes while your account is active. You retain ownership of the registrant data and content you upload, and you grant us a license to use it solely to provide the service to you.

Third-Party Services

Delivery of the service relies on third-party providers, including payment processors, and SMS and email delivery networks. These providers have their own terms and privacy practices, and we are not responsible for outages, delays, or errors caused by a third-party provider that are outside our reasonable control.

Disclaimer Of Warranties

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that every message will be delivered, since delivery depends on factors outside our control such as mobile carrier networks and email providers.

Limitation Of Liability

To the maximum extent permitted by law, OPVII and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of or inability to use the service, even if we have been advised of the possibility of such damages. Our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold OPVII harmless from any claims, damages, liabilities, and expenses, including reasonable attorney fees, arising from your use of the service, your violation of these terms, or your failure to obtain proper consent from the people you message.

Termination

We may suspend or terminate your account, with or without notice, if we believe you have violated these terms, misused the messaging program, or created risk or legal exposure for us or our messaging and payment partners. You may terminate your account at any time. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and indemnification, will survive.

Changes To These Terms

We may update these Terms of Service from time to time to reflect changes in our service, legal requirements, or carrier rules. When we make material changes, we will update the "Last Updated" date above. Continued use of the service after changes take effect constitutes acceptance of the revised terms.

Governing Law

These terms are governed by the laws of the State of Arizona, without regard to conflict of law principles, and any disputes will be resolved in the state or federal courts located in Arizona, unless otherwise required by applicable law.
